Job Responsibilities

Collaborate with other relevant functions to support an integrated approach to governance, risk management, compliance and internal controls while respecting the responsibilities and authority assigned to each function.
Conduct compliance reviews, assurance and enhancement activities and control assessments in accordance with the approved Compliance Plan and the instructions of the Group Legal & Compliance Director.
Conduct or support compliance investigations when assigned by the Group Legal & Compliance Director and in accordance with applicable investigation, whistleblowing and Ethics Committee procedures.
Conduct periodic and ad hoc compliance, assurance and risk assessments across the Group to identify non-compliance, control weaknesses, operational vulnerabilities and emerging risks using appropriate qualitative and quantitative assessment methodologies.
Continuously assess the effectiveness of the compliance framework and submit proposed improvements relating to governance, internal controls, risk management and regulatory compliance to the Group Legal & Compliance Director for review and approval.
Coordinate with the Legal Section regarding legal and regulatory developments relevant to the Group operations and assess their compliance, operational and internal-control implications based on the legal guidance received.
Develop and deliver compliance training and awareness programs in accordance with the approved Compliance Plan.
Develop and maintain an effective compliance risk management framework under the direction of the Group Legal & Compliance Director, including risk identification, assessment, monitoring, control evaluation, reporting and escalation mechanisms.
Develop appropriate compliance performance indicators and metrics, monitor trends and submit periodic analyses and recommendations to the Group Legal & Compliance Director.
Ensure that all material communications with regulatory authorities or external legal counsel are made through, or with the prior approval of, the Group Legal & Compliance Director.
Ensure that any training material involving legal requirements or legal interpretation is reviewed by the Group Legal & Compliance Director or the Legal Section before delivery.
Ensure that findings arising from compliance reviews are appropriately documented, corrective actions and remediation progress is monitored and reported to the Group Legal & Compliance Director until closure.
Establish the Compliance Section’s proposed objectives, priorities and work plans in accordance with the strategic direction and instructions of the Group Legal & Compliance Director.
Immediately escalate any significant non-compliance, suspected misconduct, material control failure, regulatory inquiry or other sensitive matter to the Group Legal & Compliance Director.
Implement the compliance strategy and initiatives approved by the Group Legal & Compliance Director.
Maintain appropriate working relationships with external auditors, industry associations and other relevant external stakeholders within the scope of the Compliance Section and subject to the direction of the Group Legal & Compliance Director.
Maintain compliance registers, monitoring records, risk assessments, review reports, corrective-action trackers and supporting documentation, ensuring they remain accurate, complete, accessible, secure and up to date.
Maintain confidentiality, objectivity, integrity and professional standards in all compliance activities, particularly in relation to investigations, whistleblowing matters, regulatory communications, assurance reviews and sensitive information.
Manage the day-to-day activities of the Compliance Section and supervise and develop its employees by providing direction, coaching, training, performance feedback and professional-development support.
Manage the implementation and monitoring of Know Your Customer and other applicable compliance programs under the direction of the Group Legal & Compliance Director.
Monitor the effectiveness of the Group compliance program by implementing appropriate compliance monitoring, testing, assurance and reporting mechanisms and following up on identified gaps within the agreed timelines.
Monitor the implementation of approved policies and procedures from a compliance perspective and report identified non-compliance, control gaps and implementation weaknesses to the Group Legal & Compliance Director.
Monitor the implementation and effectiveness of corrective and preventive actions and escalate material delays, recurring issues and unresolved compliance or control deficiencies to the Group Legal & Compliance Director.
Prepare periodic and ad hoc compliance, governance, risk and assurance reports highlighting key risks, compliance status, significant incidents, control weaknesses, corrective actions and matters requiring management attention.
Prepare the annual Compliance Plan, including proposed compliance reviews, risk assessments, monitoring activities, investigation support, training and awareness initiatives.
Provide compliance-related input to the Policies Section when requested. Responsibility for drafting, reviewing, approving, issuing and centrally administering Group policies shall remain with the Policies Section and the applicable approving authorities.
Provide day-to-day guidance to business functions and management on approved compliance processes, internal controls and procedures within the Compliance Manager’s area of expertise.
Provide regular updates to the Group Legal & Compliance Director on the Compliance Section’s activities, findings, performance, challenges and resource requirements.
Refrain from providing legal advice or independently interpreting laws, regulations or contractual requirements. Refer all matters requiring legal analysis or interpretation to the Group Legal & Compliance Director and the Legal Section.
Submit all reports to the Group Legal & Compliance Director for review and further direction before they are shared with senior management, the Board of Directors, regulators or any other party.
Submit the Compliance Section’s annual plan, objectives and strategic initiatives to the Group Legal & Compliance Director for review and approval before implementation.
Submit the findings, recommendations and proposed corrective actions arising from compliance and risk assessments to the Group Legal & Compliance Director for review and further direction.
Support the Group Legal & Compliance Director in developing and maintaining the Group Enterprise Risk Management framework, in coordination with Finance and other relevant functions.
Support the Group Legal & Compliance Director in implementing and continuously improving the Group Compliance and Governance Framework, with a focus on compliance monitoring, assurance activities, risk assessments and internal controls.
Support the Group Legal & Compliance Director in reviewing and maintaining the Delegation of Authority framework.
The Compliance Manager shall not have an independent reporting line to senior management or the Board of Directors. Any report to senior management or the Board shall be made through, or with prior authorization of, the Group Legal & Compliance Director.
Where a compliance review identifies the need for a new policy or an amendment to an existing policy, submit the findings and recommendations to the Group Legal & Compliance Director and coordinate with the Policies Section.
Perform any other duties relevant to the position and the Compliance Section as assigned by the Group Legal & Compliance Director.

Experience

Minimum 8 years relevant experience

Education

Relevant College or University qualification to min Bachelor's level in Accounting, Finance, or a related field.
